1. General; Scope

1.1. These terms of use of Legaljob, Chilli Willi BV, Oudeleeuwenrui 39/v2, 2000 Antwerp (hereinafter referred to as "Legaljob" , "we", "us" or "our") apply to the agreement (hereinafter referred to as the "Agreement") between Legaljob on the one hand and the users (hereinafter also referred to as "Users" or "you", "your", "you" or "your") on the other, who are interested in or make use of the services offered on Legaljob.be (hereinafter referred to as the "Service" or "Services"). The website, Legaljob.be hereinafter referred to as the "Website or Websites". If you are an employer, these Terms of Use do not apply, but our General Terms of Sale do.

Additional conditions may apply to certain Services, which we will inform you of separately. Please read these Terms of Use carefully. If you do not accept our Terms of Use, you may not use our Services and should leave our website immediately.

1.2. The Services under these Terms of Use are exclusively intended for individual job searches by natural persons as employees, freelancers or self-employed persons. It is not permitted to use the Services offered by us in a commercial manner, for example to promote the Services of a company.

 

2. Purpose of the Agreement and Scope of the Services

Legaljob offers job vacancies through the Website. We strive to offer our products and Services so that they are available 7 days a week, 24 hours a day.

You can use certain Services without registering. However, the registration of a Job Alert or a Legaljob Account offers you additional functionalities and Services.

2.1. Services available without registration

Without registering for a Job Alert or a Legaljob Account you can use all the Services available on our website without registering. In particular you can browse jobs published on our website.

2.2. Legaljob Account

Certain Services are only available as part of a Legaljob Account.
If you enter into an agreement for a Legaljob Account, you can use additional Services as described below. You can register for a Legaljob Account as described in paragraph 3.

2.2.1. Job Alert
You can subscribe to a Job Alert via the Website. This means that you will regularly receive e-mails about vacancies that correspond with a profile or search query previously defined by you and/or your search behaviour on the Website.

2.2.2. Applying
You can apply to vacancies on our Website. If the employer uses the Legaljob application form, the application will be saved on our website and made available to the employer. To clarify, if an employer uses their own application form, you will be forwarded to their form or external website without creating a Legaljob account.

2.2.3. Legaljob CV

You can create a CV in your Legaljob account, which will contain various CV-related information and attachments provided by you. CVs or profiles are not publicly viewable, but can be viewed by employers who can contact you.

We use the information you provide as part of your CV to make job recommendations to you based on your CV details and to meet your requirements. We may also use your profile information to pre-populate forms on our Website and for any other services we provide to you.

By creating a profile, you grant Legaljob permission to use the Legaljob CV database, or other services where recruiters can access or be supplied with user CVs to fill vacancies. They may then add a comment to your CV. We may also analyse your CV, in whole or in part, for the purpose of actively proposing it to Employers or Recruiters.

We can also use information stored in your Legaljob CV or profile to improve your search experience and recommend more relevant jobs to you on our Website or via a Job Alert. In this context, we will include data that cannot be used to directly identify you, together with a pseudonymous user ID, in a statistical database.

We do not guarantee or provide storage capacity for your Legaljob CV. We reserve the right to limit the data volume for uploading data temporarily or permanently, in particular if this is necessary for technical reasons, e.g. to maintain or optimise the Service or Website. 

2.2.4. Application to anonymous vacancies

An anonymous job offer is a job offer that does not reveal the recruiting company. If you respond to an anonymous job posting, we will forward your application with a covering letter and all the data contained therein to the client of that job posting. We do not carry out periodic checks on the content of your posts. However, we have the right to do so. We will not forward your cover letter if its content is in breach of these Terms of Use.

2.2.5. Application history

Within your Legaljob account we will save your applications for vacancies published on the Website in a history that is accessible via your Legaljob account. If Vacancies are deleted, it is possible that this history will also disappear.

2.2.6. Job related mailings

We can also send you job-related mailings with regard to Legaljob Services that are similar to the Legaljob Services that you already use, if you have not objected to such e-mails. You can object at any time, free of charge, to all Legaljob newsletters. Objecting to our e-mails can mean that your account is completely and permanently deleted if we cannot specifically stop these e-mails. If you no longer wish to receive our e-mails, please click on the link to unsubscribe or contact us at https://www.legaljob.be/en/contact.

 

3. Registration for a Legaljob Account

3.1. When you create a Legaljob Account, you must provide us with a valid e-mail address and password, which we will store. Temporary email addresses are not permitted.

3.2. After we receive your request to create a Legaljob Account, we can acknowledge receipt of this request with a message to the email address you provide. The agreement between you and us for your Legaljob Account comes into effect when you create your account or when we activate your Legaljob Account. The completion of the registration by you only constitutes an offer to enter into an agreement. Legaljob reserves the right to accept or refuse the conclusion of the agreement at its own discretion. There is no right to demand the conclusion of an agreement.

3.3. You must fill in the requested information and data completely and truthfully. You are responsible for keeping your contact details (in particular your e-mail address) up to date and ensuring that you can be contacted at the address provided and that the e-mail address is not transferred to another person. If any of the information provided changes, you must update and correct it immediately. In the case of incomplete or incorrect information provided by you, Legaljob has the right to temporarily or permanently block and/or terminate your account and access to our Website in accordance with the clause contained herein (see 10.).

3.4. Each user may only create one account. The account is not transferable.

 

4. Right of withdrawal

As a consumer, you have the right to withdraw from this contract within 14 days without giving any reason. Revocation implies that your Account including all data processed therein may be completely and permanently deleted.
The withdrawal period expires 14 days after the date of conclusion of this contract. To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (via the contact form or e-mail). To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

 

5. Obligations and Responsibilities of the User

5.1. Users are fully responsible for the hardware and internet connection required to use our Services.

5.2. Ensure that the Services under a Legaljob Account can only be used by you. You must keep access data and passwords strictly confidential. You are responsible for the use of access data and passwords and all actions that occur in connection with the use of your Legaljob Account. If an unauthorised third party has had actual or hypothetical access to your login details (email address in combination with the password), you must notify Legaljob immediately and change the password in question as soon as possible.

5.3. You may not act illegally in connection with the use of our Services and/or violate applicable laws, in particular:

  • You must not provide us with content that

a) is harassing, offensive, harmful to youth or otherwise illegal;
b) violates the rights of third parties, in particular copyright laws, personal rights or other proprietary laws
c) is confidential, e.g. includes trade secrets;

  • You may not impersonate any person, for example a government official, a representative of us, or pretend to have a relationship with such persons, falsely manipulate usernames or distinguishing marks in any other way and/or disguise the origin of content transmitted in connection with the Service;
  • you may not store, publish and/or send advertisements, junk or mass e-mails, chain letters, snowball systems or other commercial communications;
  • you may not use scraping or similar techniques, to collect content for a different purpose, to republish it or to use it in a way other than for which the Services are intended;
  • you may not use any techniques or automated other Services intended to misrepresent or misrepresent user activity, such as by using bots, botnets, scripts, apps, plugins, extensions or other automated tools to register accounts, play content, send messages, comment or perform other actions;
  • You may not harass, threaten, defame, humiliate or discriminate against a natural or legal person on the grounds of gender, race, religion or beliefs, or state or disseminate false facts about a natural or legal person;
  • you may not collect, store or transmit personal data of another user, unless the person concerned has given his/her consent;
  • you may not post links to third-party content that violates the regulations of these Terms of Use or other regulations.

5.4. All information in your CV and any other information or content that you submit to us ("Content") must be true and correct. This means that you are not allowed to create CVs for third parties or for non-existing persons without their consent, and that any profile picture you send must reflect your person.

5.5. Content that you submit to us must not contain viruses, worms or other harmful code. Personal data that you send to or provide to Legaljob must not contain any of the following, and you warrant that this is not the case:

  • racial or ethnic origin
  • political opinions
  • religious or philosophical convictions
  • membership of a trade union
  • genetic data
  • biometric data for the unique identification of a natural person
  • data concerning health
  • data on the sex life or sexual orientation of a natural person

5.6. If you send personal data to other users or employers, you do so at your own risk. Legaljob cannot control the actual use of your personal data by the recipients. You should therefore check the identity of the recipients of your data before you send it. For example, you should not send your personal data to a private email address. We also advise you not to send certain sensitive data to employers, even if they ask you to. Such sensitive data include passport numbers, social security numbers and bank details.

 

6. Licence in and for your User Content

6.1. You may use our Services and transmit Content to us in accordance with these Terms of Use. We do not examine such Content and do not claim any ownership rights to this data. By submitting Content to Legaljob, you authorise us to store it, host it and - where applicable - make it available to the public. We use your Content in accordance with the Agreement between you and us under these Terms of Use. By providing your Content to Legaljob, you grant a non-exclusive, territorially unrestricted licence for the duration of the Agreement, to use this Content for the purpose of providing the Services covered by your Agreement with us, including the right to store, reproduce, format, technically edit, transmit, make available, analyse the Content for the purposes of having it analysed, statistically evaluated and/or to have it evaluated by ourselves or by third parties.

6.2. You warrant and represent that you own all rights or have a license in and to the Content necessary to grant the rights set forth in Section 6.1 to Legaljob, and that the Content and its use by Legaljob under the Agreement with you do not violate our Terms of Use or any applicable legal requirements and do not infringe any intellectual property or other third party rights.

 

7. Rates

The Services of Legaljob under these Terms of Use are according to our rates or written agreements made.

 

8. No warranty; Backup copies

8.1. We do not guarantee the currency, accuracy, completeness, usefulness, or fitness for a particular purpose of any content on our Website. We also do not guarantee the conclusion of an employment contract between Users of our Website as job applicants and an employer.

8.2. Legaljob does not guarantee that the Services we offer will be available at certain times or permanently. Malfunctions, interruptions or possible downtimes of the (online) Service cannot be excluded. For technical or operational reasons, a temporary limitation of availability is possible. This is in particular possible with regard to capacity limitations, the security or integrity of the data processing systems or the implementation of technical measures necessary for regular or improved performance.

8.3 Legaljob's servers are regularly and carefully backed up. However, data loss cannot be ruled out. If you send or upload data - regardless of the form - we recommend that you make a backup yourself. This also applies in the event that you terminate your contract with us, as we do not retain a copy of your data after deletion, subject to legal storage obligations.

 

9. Liability

9.1. We are liable under the law for damages (a) that result from an injury to life, body or health that is based on a breach of duty by Legaljob, a legal representative or a substitute agent of Legaljob, (b) that result from the absence of a condition guaranteed by Legaljob, (c) caused by intent or gross negligence, including by our legal representatives and substitute agents, as well as (d) caused by malicious conduct of Legaljob.

9.2. In case of material or pecuniary damage caused by slightly negligent behaviour of Legaljob, a legal representative or a vicarious agent of Legaljob, Legaljob shall only be liable in case of a material breach of a core contractual duty, but only for the amount of the damage that is typical and foreseeable at the time of conclusion of the contract. Core contractual duties are such duties, the performance of which enables the proper fulfilment of a contract and on which the contracting parties may regularly rely.

9.3. Any liability under the Product Liability Act shall remain unaffected.

9.4. As far as maximally permitted by applicable law, further liability of Legaljob is excluded.

9.5. Insofar as Legaljob's liability is excluded or limited, this shall also apply to the personal liability of Legaljob's legal representatives, executives and vicarious agents.

 

 

10. Termination

10.1. The agreement with you for the Legaljob Account and the Services provided is entered into for an indefinite period. Both parties may terminate this agreement in writing with immediate effect.

10.2. When the Agreement for the Legaljob Account is terminated, we will delete all your personal data that we have stored or store your data in a non-personal form, unless the processing is lawful and necessary for another purpose.

 

11. Intellectual Property Rights for and on our Website

11.1. Our Website and all connected software, databases, graphics, user interfaces, designs and additional content, names and trademarks are protected by copyright, trademark and additional property rights. As between yourself and Legaljob, Legaljob is considered the sole holder of all these intellectual property rights.

11.2. Provided that you comply with these Terms of Use and other applicable provisions, Legaljob grants you a non-exclusive and non-transferable right to use the Website and the Service. You may not (a) use the Website or the Service for the development of other Services; (b) activate or use any functionality of the Website or the Service for which you do not have a right of use; (c) modify, translate, reproduce, decompile the source code to examine its functions, unless required by law.

 

12. Confidentiality and data protection

We will treat your personal data confidentially at all times. We will only use or disclose it where necessary for the purposes of these Terms of Use. Any collection and processing of users' personal data takes place in compliance with the applicable data protection legislation. More information on the use of personal data on our Website can be found in our privacy policy.

 

13. Amendment of these Terms of Use

13.1. Change of Services for which registration is required

We reserve the right to change the Services that require registration (Legaljob Account) at any time.

13.2. Change of Terms of Use for Services requiring Registration

a) We reserve the right to amend our Terms of Use for Services requiring registration (Legaljob Account) at any time.
b) To the extent that the amendment of the Terms of Use also entails a change in the purpose of the data processing, whereby the data is processed for a purpose other than the original purpose for which it was collected, this is only done when it is lawful under the applicable provisions (including Art. 6(4) of the GDPR). Furthermore, we will inform you in advance of the compliance with the legal provisions.

c) In addition, we reserve the right to amend or modify the Terms of Use for Services requiring registration.

13.3. Modification of Services or Terms of Use for Services available without registration

For Services available without registration, these Terms of Use apply in their current version published on the Website when you use the Service; we may change these Terms of Use at any time.

 

14. Applicable law; Place of establishment and other provisions

14.1. This Agreement and its interpretation are governed by Belgian law.

14.2. If any provision of these Terms of Use is held to be invalid or unenforceable, in whole or in part, such provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions of these Terms of Use. In such case, the invalid or unenforceable provision shall be replaced by a legal provision.

1. Scope

1.1 Chilli Willi BV (hereinafter Legaljob) and the undersigned partner company (hereinafter referred to as "Customer") agree on the implementation of the present contract in accordance with the present Terms and Conditions of Sale and the agreed rate. These General Terms and Conditions of Sale and the agreed rate are essential elements for the complete agreement between Legaljob and the Customer. Special Terms of Sale of the Client shall consequently not apply if there is no express written agreement by Legaljob.

1.2 All relations between the Customer and Legaljob are subject to the General Terms of Sale of Legaljob as agreed in the most recent agreement between the Customer and Legaljob. These General Terms of Sale apply only to Business Clients. They therefore do not apply to end consumers.

 

2. Conclusion of the Agreement

2.1 An agreement between the Customer and Legaljob shall only be effective upon receipt of the Customer's formal agreement to the contract proposal document supplied by Legaljob. The Client's agreement shall only be obtained upon receipt of the agreement proposal document signed by the Client and stating the date of the agreement. All appendices to the agreement, all statements and individual instructions about the agreement, all amendments made to the agreement must be in writing. Legaljob considers an e-mail to be a valid written document. Declaring an agreement by e-mail without a signature is also considered an agreement.

3. Description of services

3.1 This agreement imposes on Legaljob the publication of the products and the performance of the services as agreed between the Customer and Legaljob in this agreement and published on the Legaljob website: Legaljob.be - ("Elements of service provision") in compliance with these General Terms of Sale. The services provided are also described in our Supplementary Terms of Sale. This description shall also apply.

3.2. By accepting the proposed Agreement, the Customer authorises Legaljob to use the data it has provided to carry out various surveys and statistical analyses. Nevertheless, any publication of the results of these surveys and analyses will be done anonymously.

3.3 No non-competition clause, in whatever form, will be accepted.

 

4. Compensation

4.1 All information regarding payment for the services provided by Legaljob to the Customer is included in the tariff delivered to the Customer. The rate applicable to the services is that which is in force on the date of the offer and delivered to the Customer by Legaljob. Services other than those included in Legaljob's rate are the subject of individual agreements between Legaljob and the Customer.

 

5. Terms of payment

5.1 The payment as described in Article 4 of these General Terms of Sale include all additional costs incurred by Legaljob in providing its services to the Customer. These additional costs include the sending of e-mails, the costs of photocopies and post, the transfer of data and telephone calls generally incurred by Legaljob in the provision of its services. On the other hand, these additional costs do not include: all costs incurred by Legaljob for tasks relating to the amendment, correction and verification of data if these interventions result from errors that occur in the data submitted to Legaljob by the Customer. If the amount of the additional costs for the Customer exceeds the average costs incurred for individual orders, Legaljob will inform the Customer accordingly. Provided the Customer has given his approval, he will have to pay Legaljob these additional costs incurred.

5.2 With regard to the essential elements of the service provided by Legaljob to the Customer, Legaljob shall permit the correction of elements that have been published even though they contain an error. If this error is not due to negligence on the part of the Client, the first correction of the error will be free of charge. Legaljob can, however, charge the Customer for each subsequent correction with reference to the rate applicable on the date on which the request for a correction is made. If Legaljob commits an error when making a correction, the additional correction caused will be free of charge.

5.3 Legaljob shall send the invoice to the Customer, either on the date of the first materialisation of an essential element of the service provided to the Customer, or 10 days after acceptance of the agreement by the Customer if no essential element of the service provided by Legaljob to the Customer has been provided because of the Customer. The deadline for payment of these invoices is 10 days after the date of receipt of the invoice by the Customer.

In the event of non-payment or late payment Legaljob shall invoice the Client for interest equal to the basic interest rate of the European Central Bank, increased by 10%, on top of the collection costs with a minimum of €150. If payment is not made, Legaljob may suspend performance of the agreement in full or in part until the Client has paid his invoice in full. If the Client invokes a right of retention, this clause shall no longer apply. If Legaljob and the Customer have agreed to payment of the invoice in instalments and the Customer has not paid within 30 days of the due date, the full balance of the invoice shall be immediately payable by the Customer. 

5.4 All prices of Legaljob are exclusive of VAT, which is payable on the date of the invoice.

5.5 Payments must be made electronically via a payment provider (e.g. Mollie). A choice can be made from various payment methods such as credit card, bancontact, ... . Each Customer has the possibility in his Account to make the payment electronically. Only in exceptional cases and with the express consent of Legaljob can the Customer pay by bank transfer.

 

6. Cooperation basis

6.1 The general philosophy of Legaljob is to constantly improve the quality and quantity of the responses to the job offers put "online" by the Customer. Legaljob is therefore committed to continually improving the quality and precision of the tools it provides to assist the Customer in their search for the best candidate to fill a position. This philosophy may include, in particular, the establishment of all types of partnerships with media companies, both offline and online. By accepting these General Terms and Conditions of Sale the Customer authorises Legaljob to publish all or part of the essential elements of the service provided by Legaljob, without prior notification to the Customer. This applies to both online and offline media, printed media or audiovisual media. Legaljob undertakes to be particularly unforgiving with regard to the quality and image produced by all its media partners.

6.2 All rights granted to the Client by this agreement are in no way transferable to third parties. A transfer of agreement is only possible with the express permission of Legaljob.

6.3 From the moment the Customer has given his approval for the present agreement, he authorises Legaljob to send him, by post or electronic correspondence, all types of surveys, reports and commercial communications that contribute to Legaljob's ongoing efforts to improve its quality standards.

6.4 Legaljob reserves the right to refuse to execute an order placed by the Client or to unilaterally remove any published essential element of the service provided to the Client when this would constitute a violation of the law or of any official regulations or if this order or this essential element could harm the rights of third parties or morality. ("Unlawful content"). The same rule applies if an essential element of the service provided to the Customer contains one or more links which lead directly or indirectly to pages with illegal content. This does not change the Customer's obligation to pay for the service in question. Legaljob is only obliged to remove the illegal content if this is a breach of the law or at the express request of the Customer. The Customer, by accepting these General Terms of Sale, undertakes to indemnify and cover Legaljob at the first request, in the event of payment of fines and legal costs resulting from the publication of illegal content or in the event of a violation of the law.

6.5 Legaljob disclaims all liability for the entirety of the data received from the Client and the candidates, the text of the job offers or the media required for the corresponding storage. In particular, Legaljob is not obliged to store these elements or to return them to the Customer.

6.6 Legaljob may send agents.

6.7 The Client alone is responsible for everything relating to the proper configuration and operation of its technological infrastructure and, in particular, its computer infrastructure. He shall use the most effective tools and methods on the market to ensure that his infrastructure cannot be the source or target of all kinds of anomalies or failures of the internet service offered by Legaljob, nor can it in any way disrupt the proper functioning of the interconnected network.

6.8 The Client must guarantee Legaljob that the content that it publishes on the Internet or that it provides to Legaljob with a view to publication does not contain any elements that could be the subject of rights belonging to third parties. By applying these General Terms of Sale, the Customer undertakes to indemnify and cover Legaljob at the first request for any damage suffered by Legaljob as a result of the Customer breaching this rule. 

 

7. Intellectual property rights

7.1 Agreements made between the Customer and Legaljob do not transfer any (intellectual) property rights, licences or rights of use from Legaljob to the Customer. All Legaljob rights (which include, but are not limited to, rights to the logo, copyrights, special rights to data and titles, trademark rights, database rights and all commercial rights) remain the property of Legaljob without restriction.

7.2 The entire content and all types of documents published through Legaljob are subject to Legaljob's intellectual property rights (trademark rights, copyright, database rights and special data rights). However, individual content elements created by the Customer are not subject to Legaljob's intellectual property rights if they are already subject to the Customer's intellectual property rights and if Legaljob has not intervened for any modification or review of these elements.

7.3 When the Customer accepts the agreement proposed by Legaljob for the provision of online publication space for their job offers, the Customer simultaneously acknowledges that Legaljob is the producer of the database created by these job offers and that Legaljob owns all rights to the databases of the Customer's job offers published by Legaljob.

7.4 The Customer is solely responsible for ensuring that the content that he submits to Legaljob for publication in its database of job offers complies with all press laws, competition law rules and any other form of rules that apply in this regard.

7.5 By accepting these General Terms of Sale, the Customer grants Legaljob a licence to use, communicate to third parties and reproduce the Customer's content, data, brand and name, logo and other signs with a view to providing the essential elements of the service provided by Legaljob for the Customer under the contract. When placing the order, the Customer warrants on the same occasion that he has acquired, by whatever means, all necessary usage rights, copyrights and required accompanying copyrights to enable Legaljob to apply all of these essential elements of the service provided by Legaljob to the Customer. This includes, but is not limited to, the publication of the Customer's content and all data on the Internet.

 

8. Guarantee

8.1 Legaljob undertakes to deploy all its resources and maximum capacities in order to realise the essential elements of the service provided by Legaljob to the Client as presented in the specific documentation.

8.2 The Client undertakes to provide Legaljob with all documents and essential elements of content necessary for the fulfilment of the specific objectives of this Agreement. This specifically includes the delivery of the texts of the job offers to be published as well as all elements concerning the layout of these job offers in digital format. This also includes the Customer's obligation to notify Legaljob immediately if one of the essential elements of the service provided by Legaljob for the Customer is out of date. Furthermore, the Customer must comply with the obligation to cooperate, as described in the Additional Terms of Sale in that regard or, if applicable, in the descriptions of the essential elements of the service provided by Legaljob for the Customer. If Legaljob establishes that the Client does not meet this obligation when required, Legaljob's performance period shall be extended accordingly. This measure will not apply when it is Legaljob that is responsible for the delay in implementation.

 

9. Responsibility

9.1 Without prejudice to the conditions laid down in articles 9.2, 9.3, 9.4 and 9.5 of these General Terms of Sale, the full liability of Legaljob shall remain limited to the limits laid down by the applicable law and to direct losses (with the exception of all indirect, special, additional or punitive damages, damages for loss of income or revenues, for loss of commercial information, for interruption of exploitation or for violation of privacy) in the amounts stated below:
9.1.a If damage is caused as a result of a delay in the provision of services by Legaljob: 0.5% of the price of the essential element of the service provided by Legaljob for the Client concerned per 'full' week (7 days) of delay in the provision of the service, with a maximum limit set at 5% of the price of the contract for the essential element of the service concerned of Legaljob
9.1.b If damage is caused due to a completely different cause, this amount shall be limited to a maximum of 5% of the price of the contract.

9.2 Legaljob declines all responsibility for the following elements:
9.2.a the accuracy and conformity with reality of the data published by Legaljob at the request of the Client. Legaljob cannot be held responsible for the information and statements contained in this data.
9.2.b The performances by third parties with which the Customer has entered into an agreement for the fulfilment of the obligations included in these General Terms and Conditions of Sale.
9.2.c Cases of force majeure. These are described in Article 10.1 of these General Terms and Conditions of Sale.
9.2.d Number, quality and minimum accuracy of the profiles of the candidates corresponding to the job offers posted online by the Customer.
9.2.e Each investment made by the Client, in any way whatsoever, in connection with this agreement and based on any forecast of a minimum number of candidacies received as a result of the publication of job offers via Legaljob.

9.3 In the event that the contractually guaranteed use of one of the essential elements of the service provided by Legaljob for the Client is restricted by rights belonging to third parties, Legaljob can, at its own expense, either obtain the necessary agreements to use this essential element of the Legaljob service in accordance with the rights of third parties, or modify the essential element of the Legaljob service to avoid this restriction. All measures taken by Legaljob to this end shall in no way result in an unreasonable disruption of the functionalities of this essential element of the Legaljob service for the Customer. Should the Customer, in any way whatsoever, become aware of protection rights of third parties that could affect the realisation of an essential element of the Legaljob service, the Customer must inform Legaljob of this immediately and in writing.

9.4 The maximum period for submission by the Customer of a claim for compensation to Legaljob is one year from the date on which the Customer learned or should have learned of the relevant shortcoming.

9.5 All exemptions and limitations of responsibility for compensation provided for in article 9 shall apply, regardless of whether or not Legaljob's responsibility is based on a breach of contract, crime (including acts of negligence), strict responsibility or on account of the product, breach of warranty, hidden defects or all other types of legal obligations. And this even in the event that (i) Legaljob could reasonably have foreseen the possibility of such damages, (ii) Legaljob was informed of the possibility of such damages or (iii) if the damages are the result of a serious error on the part of Legaljob.

10. Force majeure

10.1 In case of "Force Majeure" - common name that, in this document, includes cases of non-predictable events with a serious impact on the economic conditions of an agreement between the Client and Legaljob, as well as cases of force majeure in the broad sense - Legaljob can adjust the agreement accordingly and in good faith (extension of the performance period of an agreement, for example, for a duration equal to that of the event that led to the case of force majeure) or possibly terminate the agreement with immediate effect.
Cases of force majeure include, but are not limited to, natural disasters, wars, fires, acts of terrorism and any other event that can have a damaging effect on the infrastructure used by Legaljob to provide the essential elements of Legaljob's service to the Customer. We also refer to defects in servers and other computer and communication structures that are uncontrollable for Legaljob or caused by an inadequacy or interruption in the networks used or by any defect in the hardware, software or telecommunications of the Customer.

 

11. Confidentiality

11.1 Legaljob guarantees the Client that all information and all documents provided in the context of the execution of this agreement and labelled as confidential will be treated as strictly confidential. This confidentiality shall also be guaranteed after the validity date of this agreement.

11.2 The acceptance of this agreement also obliges each party, the Client and Legaljob, to comply with all laws that apply during the execution of the agreement and with regard to data protection and respect for personal privacy.

11.3 In compliance with data protection laws through these General Terms and Conditions of Sale, the Customer is informed that Legaljob will store the data in exploitable electronic form, regardless of the technology used, and that Legaljob will only use this data in view of the objectives of this agreement.

11.4 In all circumstances, the Client shall demonstrate the greatest diligence and vigilance. He shall also take all precautions necessary in the processing, manipulation and transfer of identifiers, passwords, user names, aliases and any other security system that is used to guarantee the confidentiality of the services of Legaljob. The Client shall immediately take all measures necessary to ensure the confidentiality of the data, its proper use and security and to avoid any direct or indirect transfer to third parties not approved by Legaljob. This also means that the Client is prohibited from using his access rights (username, password) to the Legaljob environment with the intention of allowing unauthorized third parties to use all or part of the information contained in the Legaljob databases, even to demonstrate the functioning of the tool. The Client shall be responsible in the event of use by unrecognized third parties of his passwords or user names in the Legaljob system. This applies in all circumstances, with the exception of cases in which the Customer provides proof of the fact that the acquisition of these usernames and passwords by third parties is not due to his own intervention or if the Customer proves that the cause, even indirect, of this unauthorised acquisition is not his responsibility. The Customer is obliged to inform Legaljob immediately if it appears that any third party not recognised by Legaljob uses one of its security elements or if these security elements could be used or are used unlawfully. In the event of violation by the Customer of his material obligations imposed by this Agreement and whatever these may be, including, but without being exhaustive of, the obligations imposed under this Article, Legaljob shall be entitled to immediately suspend the performance of its obligations and the provision of its services, without any form of notice and without the Customer being released on the same occasion from all his payment obligations to Legaljob. Legaljob also reserves the right to institute legal action should it deem it necessary, including any claim for damages, should the Client fail to meet his obligations imposed by this Agreement, including the obligations imposed by this Article on data confidentiality.

 

12. Expiry date

12.1 The present agreement between the Customer and Legaljob shall commence on the date on which Legaljob receives an order from the Customer, whether or not automated. The term of the agreement between the Customer and Legaljob shall commence on the day on which Legaljob delivers the first essential element of the service of Legaljob to the Customer. If the contract duration has not been explicitly agreed in writing between Legaljob and the Customer, this contract shall be deemed to have been concluded for a period of 12 months after delivery by Legaljob to the Customer of the first element that is part of the Legaljob service. In the event that the responsibility for the delay in delivery of the first essential element of the Legaljob service lies with the Client, the contract shall come into effect 14 days after receipt by Legaljob of the contract. The agreement shall automatically expire on the expiry date agreed between the Client and Legaljob, with the exception of the cases expressly provided for in the continuation of these General Terms of Sale where the Additional Terms of Sale expressly provide for other measures.

 

12.2 For the essential elements of the service provided by Legaljob to the Customer, each order from the Customer can only be accepted during the contractually agreed period. Consequently, the Customer shall only retain his right to order essential elements of the Legaljob service until the contractual expiry date, even if by that date he has not yet placed online all the essential elements of the Legaljob service that he has acquired.

 

13. Miscellaneous

13.1 The present agreement shall be governed solely by Belgian law. The only competent authorities in the event of disputes relating to this agreement are the courts and tribunals of the city of Antwerp.

13.2 Thus all legal relations between the Client and Legaljob shall have Antwerp as the place of performance.

Additional sales conditions: Job offers

1. Description of the Services

1.1 Legaljob places job offers on the Internet on behalf of the Client, as stipulated in article 3 of the General Terms of Sale.

1.2 Legaljob reserves the right to publish the job offers via other media channels, both on paper and electronically or to transfer these to other entities for the purpose of additional publications.
Legaljob therefore has the right, in the same spirit, to place the job offers present on its site, in whole or in part, on (a) partner site(s) without the Client's prior agreement.
No additional costs are charged to the Client for this service. The name of the partner companies is accessible on the Legaljob.be site.

1.3 The description of the above services is complete.

 

2. Duration of the Publication

2.1 Every job offer placed online by Legaljob will remain on the website for at least 30 days, unless Legaljob and the Customer have agreed otherwise.

 

3. Offers of employment in electronic form

3.1 The service offered by Legaljob consists of placing job offers online in electronic form on the Legaljob.be website. Legaljob shall only send the Client the responses that have also been entered electronically on the Legaljob.be site.

The data will be forwarded to the Client unedited and Legaljob is in no way responsible for its content. The data will be forwarded either to the Client's e-mail address or to his personal Legaljob account.

Any job offer with a clearly illegal character (as proposed in Article 6.4 of the General Terms and Conditions of Sale) will be removed by Legaljob at its own initiative.

The Client must comply with local laws and regulations concerning data protection. Every claim by third parties following a breach by the Customer of this article 3.1 paragraph 2 shall result in the Customer being obliged to pay damages to Legaljob at the first request.

If he wishes, the Customer can, at his own discretion, modify and correct a job offer that he has purchased as long as it has not been put online. Once the job posting is online, the Customer will no longer be able to modify or correct it. And this for the period that this job posting is online, i.e. at least 30 days, unless otherwise agreed.

 

 

4. Miscellaneous

4.1 By accepting these Additional Terms of Sale the Customer is informed about and acknowledges the impossibility for Legaljob to perfectly control the unauthorised online posting of job offers by third parties. The Customer therefore accepts that Legaljob can under no circumstances be held responsible for such unapproved publications by third parties. Legaljob does however undertake to make every effort, within the technical and legal limits, to avoid unapproved publications.

4.2 By accepting these Additional Terms of Sale, the Client transfers all property rights to the databases to Legaljob. These consist of all job offers entrusted to Legaljob for publication. The Customer acknowledges that Legaljob is the sole producer of the database that consists of the job offers entrusted to Legaljob for publication. Legaljob is also recognised by the Client as the sole holder of a right to the database containing the list of jobs entrusted to Legaljob for publication.

4.3 No reduction in rates in relation to Legaljob's official rate has any value if it is not explicitly proposed and approved by Legaljob for the specific Customer under the specific conditions. Consequently, no reduction in the official price will be valid for a Client who charges a third party to act on his behalf.

4.4 The principle of reselling a job offer agreement by a Client to a third party requires the prior agreement of Legaljob. This agreement shall take the form of an agreement replacing the previous one, between Legaljob and the Client to whom the agreement was transferred.

These Additional Terms and Conditions of Sale for orders placed online apply as an appendix and, in case of doubt, take precedence over the General Terms and Conditions of Sale and the Additional Terms and Conditions of Sale: Work offers.

 

1. Description of the Services

1.1 Legaljob places job offers online on the Internet on behalf of the Client in accordance with the provisions of section 2.1 of the Additional Terms and Conditions of Sale: Job offers.

1.2 This description of the services is complete.

 

2. Written form

2.1 Contrary to the General Conditions of Sale which stipulate that a written document is obligatory, in the case of an order placed online, declarations of intent may be made between the parties, which shall be considered effective and valid without any formal requirement.

 

3. Payment terms

3.1 Legaljob shall not award any agency commission in the case of orders placed online.

3.2 The Customer must immediately pay for the services ordered from Legaljob by means of online payment. In exceptional cases and with the explicit approval of Legaljob, the Client may pay by classic bank transfer within 10 days of the date of receipt of the invoice. The provisions laid down in articles 4 and 5 of the General Terms of Sale apply in all other cases.

 

4. Information obligations of the Customer

Legaljob confirms the following information in accordance with the applicable Belgian legislation:

The agreement concerning the order online between the Customer and Legaljob is considered to have been entered into when the following phases have been carried out:
- The registration form has been completed;
- The Customer takes note of and accepts the General and Additional Terms and Conditions of Sale;
- The Customer clicks on the "Confirm" button in the Legaljob system;
- The Customer receives an email confirming that the order has been received (this message is not a confirmation of the order);
- The Customer receives an order confirmation from Legaljob;

Once the Client has received the order confirmation, the agreement is considered to have been entered into.
When the agreement is concluded, the Client can publish his job offer online.

4.2 The General Terms of Sale, the Additional Terms of Sale: Work offers and the Additional Terms and Conditions of Sale: Order online constitute the entire content of the agreement entered into between the Client and Legaljob for the ordering of job offers online. The applicable rate for ordering work offers online is available on the Legaljob.be website and is defined at the time the agreement for ordering work offers online is entered into between the Client and Legaljob. The legal aspects concerning the consultation of the Legaljob.be site can be viewed in our documents "Terms of use".

4.3 When the order is placed, the Client receives an initial e-mail informing him that his order has been received and giving him a login and password for access to the Recruiters' Area. It is through this area that the Client can create, modify or correct a job offer before placing it online. Legaljob offers the Client the means to detect any errors and to correct the content of a job posting before placing it online. The main functionality made available to the Client for this purpose consists of prior visualisation of the job posting before it is published, as well as a series of tools for modifying or correcting the job posting. At the next stage, the Customer receives an order confirmation informing him that he can publish online. Once a job posting is online, it cannot be changed.

4.5 The Customer's orders are stored by Legaljob. The Client will not have access to his orders for online job offers.

4.6 Legaljob undertakes to comply with the standards for the protection of data provided by Belgian law, its Terms of Use and the conditions described in its Privacy policy.
